External audit
Pursuant to the Articles of Association, Oriola-KD Corporation shall have one auditor, who shall be a firm of independent public auditors authorised by the Central Chamber of Commerce.
The auditor is elected annually by the Annual General Meeting for a term that expires at the end of the next Annual General Meeting following the election. The task of the auditor is to audit the consolidated financial statements, the financial statements of the parent company, the accounting of the Group and the parent company and the administration of the parent company. The financial year of Oriola-KD runs from 1 January to 31 December.
The company's auditor submits the auditors' report to the shareholders in connection with the annual financial statements, as required by law, and submits regular reports on its observations to the Board's Audit Committee.
The fees for the audit proper paid to the auditing firm PricewaterhouseCoopers Oy in 2012 totaled EUR 302,000. An additional sum of EUR 19,000 was paid for other consultation provided to Group companies.
Auditor in 2013
The Annual General Meeting held on 20 March 2013 re-elected the firm of public auditors PricewaterhouseCoopers Oy as Oriola-KD Corporation’s auditor, with Heikki Lassila APA as principal auditor.
PricewaterHouseCoopers Oy, with Heikki Lassila APA as principal auditor, has served as the company’s auditor since 2008.
