According to Oriola-KD’s Articles of Association, the share capital of the company shall be a minimum of EUR 50,000,000 and a maximum of EUR 2,000,000,000, within which limits the share capital can be increased or decreased without amending the Articles of Association. The minimum number of shares in the company is one (1) and the maximum number is 1,000,000,000 shares. Although the shares do not have a nominal value, their counter-book value is EUR 1.05 (approximate value).

The company has two classes of shares, Class A shares, not to exceed 500,000,000 and Class B shares, not to exceed 1,000,000,000. At General Meetings of Shareholders, each Class A share provides 20 (twenty) votes and each Class B share one (1) vote. Both classes provide equal rights to the company’s assets and dividends. On the basis of the Articles of Association, a shareholder can demand the conversion of Class A shares into Class B shares.

In the Demerger, Oriola-KD Corporation’s share capital will be EUR 147,899,766 14.
